Definition

Defines the nature of the sale between the buyer and the seller.

The MMS requires separate lines of royalty detail based on the nature of the sale. Payors report the disposition of their production, including the distinction between 'arms-length' and 'non-arms length' contracts, as well as contract type. A 'pooled' sales type code allows reporting of all pooled sales under a separate sales type code.

For example, if the product is sold by company A to company B, and company A has a competing economic interest with company B, then the sale would be defined as an arms length sale.

If company A acquires company B, their economic interests would no longer be competing. In that case, the sale would be defined as non-arms length.

The sales type code applies only to sales contracts and not to transportation or processing agreements. Leave the field blank for lease-level transactions such as rental, minimum royalty, rent recoupment, or estimated royalty payments.
